I tihnk I've figured it out.

The one one winvnc.exe is the "service". And as long as the service is running I can't close VNC.

I just upgraded from v 102 to 1.0.8.2. I've searched and done some reading for about five hours now and really didn't find an answer to my question. I'm using UltraVNC 1.0.2 and Windows XP on all machines.
