This probably won't help your problem, but I did find I had the same symptom after I turned on DEP for all programs on XP, namely the server would fail to start with no overt symptoms. After setting back DEP for essential only, all was well.

Don't know if this is the right place to post this, but here goes.

I suggest adding:

replaceicon.exe PcHelpWare.exe icon1.ico

to Create.bat

so that the custom icon displays on the taskbar.
